These Terms govern your use of the website located at asaslabs.com (the "Website"). Our products — including ClinicaOS, Qampus, Qlash, and TavSign — are subject to separate terms of service applicable to each product. Nothing in these Terms grants you any rights to use those products.

2. Acceptance and Eligibility

By accessing or using the Website, you confirm that you:

• Are at least 18 years of age, or the age of majority in your jurisdiction
• Have the legal authority to enter into these Terms
• Will comply with these Terms and all applicable laws and regulations

The names "Asas Labs," "ClinicaOS," "Qampus," "Qlash," and "TavSign," together with related logos and product names, are trademarks of Asas Labs Ltd. All other trademarks appearing on the Website are the property of their respective owners.

You represent and warrant that you have all necessary rights to submit such material, that it is accurate, and that it does not violate any third-party rights or applicable law.

Our total aggregate liability for any claim arising from or relating to these Terms or the Website shall not exceed one hundred New Israeli Shekels (NIS 100).

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Asas Labs and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to (a) your use of the Website, (b) your breach of these Terms, or (c) your violation of any applicable law or third-party right.

11. Termination and Suspension

We may suspend, restrict, or terminate your access to the Website at any time, with or without cause, and with or without notice. Upon termination, your right to use the Website ceases immediately.

Provisions of these Terms that by their nature should survive termination — including Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law and Jurisdiction) — shall survive.

12. Governing Law and Jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The competent courts located in the Haifa District, Israel shall have exclusive jurisdiction over any dispute, controversy, or claim arising out of or relating to these Terms or the Website.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be indicated by updating the "Last Updated" date at the top of this page. Your continued use of the Website after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Website.

14. Privacy

Your use of the Website is also subject to our Privacy Policy, which explains how we collect, use, and protect personal data.

15. General Provisions

Entire agreement. These Terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and Asas Labs regarding the Website and supersede all prior agreements or understandings on the subject.

Language. These Terms are written in English. Any translation is provided for convenience only; in the event of any conflict, the English version shall prevail.
